Terms and Conditions

1. Introduction

These Terms and Conditions govern the use of the CAPHI platform by all users, including vendors (suppliers) and retailers (pharmacies, outlets, or clinics). By accessing or using the CAPHI platform, you agree to these Terms and Conditions, which form a binding agreement between you and CAPHI. The platform supports both business-to-business (B2B) and business-to-consumer (B2C) transactions in the categories of Childcare, Cosmetics, Health & Wellness, Home Healthcare, and Resale.

2. Definitions

  • Platform: The CAPHI website and application.
  • Vendor: A supplier who lists and sells products through CAPHI.
  • Retailer: A pharmacy, clinic, or outlet purchasing through CAPHI.
  • User: Any registered vendor or retailer using CAPHI.
  • Products: Goods listed in the supported categories.
  • Order: A purchase transaction initiated by a retailer and fulfilled through CAPHI.

3. Eligibility

  • Vendors and retailers must hold valid commercial registrations or professional licenses in Saudi Arabia.
  • Users must be at least 18 years old and legally able to enter into binding contracts.
  • Vendors must ensure all listed products comply with Saudi laws and regulations.
  • CAPHI reserves the right to verify documents and deny access where eligibility criteria are not met.

4. Account Responsibilities

  • Users must provide accurate information during registration and keep details updated.
  • Account credentials must be kept secure.
  • Users are responsible for all actions performed under their account.
  • CAPHI may suspend or terminate accounts for policy violations, fraud, or unlawful activity.

5. Orders and Workflow

  • Retailers place orders via the platform, which are then reviewed and approved by CAPHI.
  • Once approved, the system generates vendor purchase orders (POs) corresponding to each vendor.
  • Vendors must confirm acceptance of the PO and provide expected delivery dates.
  • Vendors prepare, ship, and deliver goods according to the order details.
  • CAPHI confirms receipt of goods before finalizing order completion.

6. Pricing and Payments

  • Prices displayed must include applicable taxes and fees.
  • Payments are collected through CAPHI and released to vendors after goods are received and verified.
  • CAPHI issues invoices to retailers according to the agreed terms (prepaid or postpaid).
  • Late payments may incur penalties or account suspension.

7. Shipping and Delivery

  • Vendors are responsible for timely shipment and must provide delivery or tracking details where applicable.
  • CAPHI confirms receipt of products and ensures quality checks before final delivery to retailers.
  • Delivery delays, shortages, or damages must be reported immediately.
  • CAPHI may hold or cancel orders where delivery standards are not met.

8. Returns and Refunds

  • Retailers may return or request replacement of products within seven (7) days of receipt if unused and in original packaging.
  • Returns are accepted for defective, expired, or misrepresented products.
  • Vendors bear responsibility for defective goods and must reimburse or replace them promptly.
  • Refunds are processed within a reasonable timeframe after returned goods are verified.

9. Vendor Obligations

  • Vendors must ensure product authenticity, safety, and compliance with local regulations.
  • Vendors must provide accurate product descriptions, expiration dates (if applicable), and certifications.
  • Vendors are prohibited from selling counterfeit, unauthorized, or harmful products.
  • Vendors must maintain sufficient stock levels and update availability regularly.
  • Vendors must resolve product-related complaints in coordination with CAPHI.

10. Retailer Obligations

  • Retailers must place orders for legitimate business purposes only.
  • Retailers must provide accurate order details and ensure timely acceptance of deliveries.
  • Payments must be made in line with agreed terms.
  • Retailers are responsible for properly handling and storing delivered products.
  • Retailers must comply with resale laws and consumer protection obligations.

11. Liability

  • CAPHI acts as an intermediary facilitating transaction.
  • CAPHI is not directly liable for product defects but will assist in resolving disputes.
  • Vendors bear full responsibility for product quality, safety, and regulatory compliance.
  • CAPHI’s liability is limited to the value of the transaction in dispute.

12. Trade-In Policy Terms

  • The items should be in a good packaging condition.
  • No stickers on boxes.
  • Batch is valid for returning.
  • Quality department should check before accepting the return on system & issue credit note.
  • No returns will be accepted from clients without recording the items on RSD from their GLN.

13. Termination

  • CAPHI may suspend or terminate accounts for violations of these Terms.
  • Users may request account closure, provided all outstanding obligations are settled.

14. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved exclusively by the competent courts of Saudi Arabia.
